CampusLife Platform Agreement

Independent Contractor Platform Agreement
(Victoria, Australia)

This Agreement is made on the date the Contractor accepts these terms through the CampusLife platform.

1. Parties

1.1 CampusLife

CampusLife Australia Pty Ltd (ACN 654 887 180)
(“CampusLife”)

CampusLife operates a digital platform that connects university students and early-career professionals with local businesses seeking marketing and related services.

1.2 Contractor

The individual accepting this Agreement who operates their own independent business and holds, or agrees to obtain, an Australian Business Number (“Contractor”).

1.3 Business

Any third-party organisation that may engage the Contractor through an introduction made via the CampusLife platform (“Business”).

2. Nature of the Relationship

2.1 The Contractor acknowledges that they operate an independent business and are not an employee of CampusLife.

2.2 Nothing in this Agreement creates an employment relationship, partnership, agency or joint venture between the Contractor and CampusLife.

2.3 CampusLife:

  • does not employ Contractors

  • does not supply labour to Businesses

  • does not supervise or direct work performed by Contractors

  • does not determine working hours, location or work methods

  • does not pay wages, superannuation, leave or employee benefits

2.4 The Contractor is free to determine:

  • how services are delivered

  • the tools and equipment used

  • when and where work is performed

  • whether to accept or decline opportunities

2.5 Any engagement for services is between the Contractor and the Business only.

CampusLife is not a party to that engagement.

3. Platform Services Provided by CampusLife

3.1 CampusLife provides access to a digital platform that may include:

  • introductions to Businesses

  • portfolio hosting and profile pages

  • software tools for managing opportunities

  • templates and operational guidance

  • community and training resources

3.2 CampusLife provides introductions only and does not guarantee:

  • work opportunities

  • income

  • engagement outcomes

  • business success

4. Contractor Responsibilities

4.1 The Contractor is responsible for operating their own business and must ensure they:

  • maintain an ABN

  • comply with all applicable tax obligations

  • register for GST if required

  • manage their own superannuation

  • hold any licences or registrations required to perform their services

4.2 The Contractor is responsible for issuing invoices to Businesses unless otherwise agreed between those parties.

4.3 The Contractor is solely responsible for negotiating their scope of work, pricing, timelines and deliverables with each Business.

5. Platform Fee

5.1 In consideration for access to the CampusLife platform, the Contractor agrees to pay a Platform Fee of AUD $250 per month.

5.2 The Platform Fee:

  • is payable monthly in advance

  • provides access to the platform and its tools

  • is payable regardless of whether the Contractor secures work through the platform

  • is exclusive of GST unless stated otherwise

5.3 Failure to pay the Platform Fee may result in:

  • suspension of the Contractor’s profile

  • removal of platform access

  • termination of this Agreement.

6. Engagements with Businesses

6.1 Businesses may choose whether to engage a Contractor following an introduction made through the platform.

6.2 CampusLife:

  • does not negotiate contracts on behalf of Contractors

  • does not set Contractor pricing

  • does not supervise the services delivered

  • does not guarantee payment by Businesses

6.3 The Contractor is free to:

  • accept or decline opportunities

  • negotiate their own commercial terms

  • work with other clients or platforms

7. Insurance

7.1 The Contractor must maintain, where reasonably required:

  • public liability insurance

  • professional indemnity insurance

7.2 The Contractor acknowledges they are responsible for all risks associated with their services.

8. Intellectual Property

8.1 CampusLife retains ownership of all intellectual property relating to:

  • the CampusLife platform

  • software systems

  • training materials

  • templates and resources

8.2 Contractors are granted a non-exclusive, revocable licence to use these materials while subscribed to the platform.

9. Confidentiality

9.1 The Contractor must keep confidential any non-public information relating to:

  • CampusLife

  • Businesses

  • other Contractors

  • platform operations

9.2 This obligation continues after termination of this Agreement.

10. Indemnity

The Contractor indemnifies CampusLife against any loss, claim or liability arising from:

  • services performed for a Business

  • breach of this Agreement

  • claims made by a Business or third party.

11. Term and Termination

11.1 This Agreement begins when the Contractor accepts these terms through the platform.

11.2 The Agreement continues on a month-to-month basis.

11.3 Either party may terminate this Agreement with 30 days written notice.

11.4 CampusLife may suspend or terminate platform access immediately if the Contractor:

  • fails to pay platform fees

  • misrepresents their business status

  • damages the reputation or operation of the platform.

12. No Exclusivity

This Agreement is non-exclusive.

The Contractor is free to operate their business independently and provide services to any other client, agency or platform.

13. Governing Law

This Agreement is governed by the laws of Victoria, Australia.

The parties submit to the jurisdiction of the courts of Victoria.

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding access to the CampusLife platform.

Acceptance

By creating a profile, accessing the platform, or ticking the acceptance box on the CampusLife website, the Contractor confirms that they have read and agree to be bound by this Agreement.
